TERMS AND CONDITIONS — THE XEELAA CHALLENGE 2026

1. Eligibility

1.1 The Challenge is open to XEELAA account holders who receive an invitation from XEELAA to participate, or such other category of persons as XEELAA may designate in its communications.

1.2 To participate, a Participant must have an active custom domain registered to their startup (for example, yourstartup.com) throughout the Challenge Period.

1.3 A Participant must hold and maintain an active one-month XEELAA Basic subscription plan (or such other qualifying plan as XEELAA may designate) for the entirety of the period during which their activities are assessed under this Challenge.

1.4 Employees, directors, and immediate family members of XEELAA or its affiliates who are directly involved in the administration of the Challenge are not eligible to participate or win a prize, save where XEELAA expressly permits otherwise in writing.

1.5 XEELAA reserves the right to verify the eligibility of any Participant at any time before, during, or after the Challenge Period, and to disqualify any Participant who does not meet these eligibility requirements.

2. Subscription Requirement and Effect of Non-Renewal

2.1 A Participant's eligibility to win a prize is conditional on their XEELAA Basic subscription, and their custom domain, remaining active, valid, and paid in full for the duration of the Challenge Period. Where a Participant's subscription lapses, is cancelled, is refunded, or is downgraded to a free plan (if any) at any point during the Challenge Period, XEELAA reserves the right to disqualify that Participant or to exclude any activity recorded outside an active-subscription window from the Participant's assessment.

2.2 A Participant's participation in the Challenge does not entitle them to any extension, discount, or refund of subscription fees beyond the promotional pricing (if any) publicly available to all XEELAA subscribers at the time of subscribing.

2.3 For the avoidance of doubt, the payment of a subscription fee is consideration for access to the XEELAA platform and its features, and is not, and shall not be construed as, a fee, stake, or consideration paid for the chance to win a prize under the Challenge.

3. Qualifying Activities

3.1 To be considered for assessment, a Participant must, within the Challenge Period, complete at least the following minimum activities on the XEELAA platform (“the Minimum Activities”):

• Register for a XEELAA account and create an AI chatbot;
• Connect the chatbot to at least one of the Participant's WhatsApp number or website;
• Train the chatbot with information about the Participant's startup, including products or services, frequently asked questions, policies, processes, or other business information; and
• Establish at least 15 (fifteen) genuine customer or client interactions with the chatbot, whether via the chatbot embedded on the Participant's website or via the support ticket chat link.

3.2 Points shall be awarded to Participants who complete the Minimum Activities and any further qualifying activity on the XEELAA platform during the Challenge Period, as follows:

• Registration of a XEELAA account and creation of an AI chatbot: 10 points (one-time).
• Connection of the chatbot to WhatsApp: 5 points.
• Connection of the chatbot to the Participant's website: 5 points.
• Each distinct addition of training content: 2 points per update (such as product information, FAQs, or policies).
• Each genuine customer or client interaction handled by the chatbot: 1 point per interaction, subject to reaching the minimum of 15 interactions required under Clause 3.1 to qualify for a prize.

3.3 Points shall accrue only in respect of activity that is genuine, verifiable, and consistent with ordinary business use of the XEELAA platform. XEELAA reserves the right to disregard activity it reasonably considers to be artificial, fabricated, or created solely to accumulate points without genuine business purpose, including interactions generated by the Participant themselves, automated scripts, or bots rather than genuine prospective or existing customers.

3.4 XEELAA reserves the right to amend the Minimum Activities or the points allocated to any activity, or to introduce or remove qualifying activities, at its sole discretion, and shall notify Participants of any material change via the XEELAA platform or registered email.

3.5 All points are provisional until verified by XEELAA. XEELAA reserves the right to review, adjust, or reverse points awarded in error, or as a result of fraudulent, duplicate, or otherwise irregular activity.

4. Prize Pool Contingency, Minimum Participation, and XEELAA's Discretion

4.1 The prizes stated in Clause 6.2 below (₦300,000, ₦200,000, and ₦100,000 respectively) represent target maximum prizes only. They are not guaranteed, and are expressly contingent upon a sufficient number of Participants maintaining an active subscription and completing the Minimum Activities by the close of the Challenge Period. Nothing in these Terms, the Challenge invitation, or any other Challenge communication constitutes a guarantee that the full prize pool, or any part of it, shall be disbursed.

4.2 XEELAA's maximum aggregate financial exposure in connection with the Challenge, inclusive of all prizes, event costs, and associated administrative costs, shall not exceed the Challenge Budget, or such other amount as XEELAA may determine and communicate from time to time. XEELAA shall not be obliged to expend the Challenge Budget in full, whether on prizes or otherwise, and no Participant shall have any claim to, or expectation of, any unutilised portion of the Challenge Budget.

4.3 If, by the close of the Challenge Period, fewer than the required Minimum Number of Participants have maintained an active subscription and completed the Minimum Activities (“the Minimum Qualifying Threshold”), XEELAA reserves the right, in its sole and absolute discretion, and without liability to any Participant, to do any one or more of the following:

• Reduce the value of any or all of the prizes stated in Clause 6.2, proportionately to the level of qualifying participation actually achieved, relative to the level XEELAA anticipated;
• Reduce the number of prize positions awarded, including awarding only a 1st place prize, or no prize at all, where qualifying participation is insufficient to justify the full prize structure;
• Postpone the determination and award of prizes, and extend the Challenge Period, to allow a further opportunity for Participants to satisfy Clause 3;
• Substitute the cash prizes, in whole or in part, with alternative rewards of a lower aggregate value, including subscription credits, extended trial periods, or feature upgrades;
• Cancel the prize-awarding stage of the Challenge, or the Challenge itself, in whole or in part, with notice to Participants via the XEELAA platform, registered email, or other reasonable means; or
• Redirect any unallocated or reduced portion of the Challenge Budget to a future promotional initiative, at XEELAA's sole discretion.

4.4 No Participant shall acquire any vested, accrued, or otherwise enforceable right to a prize — whether by reason of points accumulated, ranking, time invested, or otherwise — unless and until XEELAA has confirmed in writing that all conditions for the award of that prize, including the Minimum Qualifying Threshold and the requirements of Clauses 1 to 3, have been satisfied. Ranking within the top three positions by points is a necessary condition for receiving a prize, but is not, on its own, a sufficient condition.

4.5 XEELAA's assessment of whether the Minimum Qualifying Threshold, or any other condition under this Clause 4, has been satisfied shall be final and binding on all Participants.

4.6 XEELAA shall have no liability whatsoever to any Participant, whether in contract, tort, or otherwise, for any loss, disappointment, or claim arising from a reduction, restructuring, postponement, or cancellation of any prize or the Challenge Budget under this Clause 4, including any expectation a Participant may have formed from the Challenge invitation or other promotional communication regarding the value or availability of prizes. Participation in the Challenge, and any subscription fees paid or points accumulated, is entirely at each Participant's own risk and does not, by itself, entitle a Participant to any prize.

4.7 XEELAA shall notify Participants of any reduction, restructuring, postponement, or cancellation of the prize pool under this Clause 4 as soon as reasonably practicable, and in any event before the close of the Challenge Period where practicable, or promptly thereafter where not.

5. Challenge Period

5.1 The Challenge runs from 22nd September 2026 to 22nd October 2026 (“the Challenge Period”), both dates inclusive.

5.2 Only activity that is successfully completed, verified, and confirmed by XEELAA within the Challenge Period shall count toward a Participant's points total. Activity initiated but not completed, or completed outside the Challenge Period, shall not be counted.

5.3 XEELAA reserves the right, at its sole discretion, to extend, shorten, suspend, or terminate the Challenge Period, with reasonable notice to Participants where practicable.

6. Determination of Winners

6.1 Points earned by a Participant under Clause 3 shall determine their ranking for the purpose of the Challenge. Rankings shall be assessed by XEELAA as at the close of the Challenge Period, by reference to total verified points and, where relevant, the quality and genuineness of platform usage.

6.2 Subject always to Clause 4, the three Participants with the highest verified point totals at the close of the Challenge Period, who also satisfy the requirements of Clauses 1 to 3, shall be declared winners, in the following order of prizes:

• 1st Place: up to ₦300,000 (Three Hundred Thousand Naira only).
• 2nd Place: up to ₦200,000 (Two Hundred Thousand Naira only).
• 3rd Place: up to ₦100,000 (One Hundred Thousand Naira only).

6.3 In the event of a tie in points between two or more Participants for any winning position, XEELAA shall determine the winner by reference to the earliest time at which the tied point total was reached, the depth or quality of platform usage, or by such other fair and reasonable method as XEELAA may determine at its sole discretion.

6.4 Winners shall be announced and publicly recognised via XEELAA's official platform, website, or social media channels, or at an event organised by XEELAA, on such date as XEELAA may designate, with reasonable notice to Participants.

6.5 XEELAA's determination of the final rankings and winners shall be final and binding, save in the case of manifest error.

7. Verification, Disqualification, and Fraud Prevention

7.1 XEELAA reserves the right to audit and verify all account activity, chatbot configurations, training content, and customer or client interaction records associated with a Participant's account before confirming any prize.

7.2 A Participant may be disqualified from the Challenge, and shall forfeit any accrued points and prize entitlement, where XEELAA reasonably determines that the Participant has:

• Generated fictitious, automated, or self-initiated interactions with their own chatbot to inflate points without genuine business purpose;
• Engaged in any activity designed artificially to inflate points, including duplicate or circular records;
• Provided false or misleading information in connection with their custom domain, subscription status, or platform activity; or
• Otherwise acted in a manner inconsistent with the spirit and intent of the Challenge, as determined by XEELAA in its sole and reasonable discretion.

7.3 XEELAA's decision on disqualification shall be final. A disqualified Participant shall have no claim against XEELAA in respect of forfeited points or prizes.

8. Account and Domain Requirements

8.1 A Participant's custom domain and chatbot configuration must remain active and correctly connected for points to be counted. XEELAA may disregard activity recorded while a Participant's domain is inactive or their chatbot is disconnected from WhatsApp and their website.

8.2 It is the Participant's sole responsibility to ensure their custom domain, XEELAA account, and subscription remain accurate, active, and up to date throughout the Challenge Period.

9. Prize Disbursement and Tax

9.1 Subject to Clause 4, prizes shall be disbursed to each winning Participant within 30 days of the announcement of winners under Clause 6.4, subject to satisfactory completion of any final verification checks, including verification of compliance with Clauses 1 to 3.

9.2 Winners shall be solely responsible for any personal income tax, withholding tax, or other statutory levy arising from receipt of a prize under the Challenge, save where XEELAA is required by law to withhold and remit any such amount at source, in which case the prize disbursed shall be net of such withholding.

9.3 Prizes are not transferable, exchangeable, or redeemable for cash alternatives other than as stated in these Terms, save at XEELAA's sole discretion.

10. Amendments and Termination

10.1 XEELAA reserves the right to amend these Terms at any time, with notice to Participants via the XEELAA platform, registered email, or other reasonable means. Continued participation in the Challenge after such notice shall constitute acceptance of the amended Terms.

10.2 XEELAA reserves the right to suspend, modify, or terminate the Challenge in whole or in part, at any time, including where required by regulatory directive, technical necessity, suspected fraud, insufficient participation under Clause 4, or circumstances beyond XEELAA's reasonable control, without liability to any Participant, save for the honouring of points and prizes reasonably and validly earned up to the point of such suspension or termination, at XEELAA's discretion and subject at all times to Clause 4.

11. Limitation of Liability

11.1 XEELAA shall not be liable for any loss, damage, or inconvenience arising from a Participant's failure to meet the eligibility criteria, failure to maintain an active subscription or custom domain, failure to satisfy the requirements of Clause 3, technical or connectivity issues, or any act or omission of a third party, including a customer or prospect interacting with the Participant's chatbot.

11.2 To the fullest extent permitted by law, XEELAA's total liability to any Participant in connection with the Challenge shall not exceed the value of the prize which that Participant would otherwise have been entitled to receive after due application of Clause 4, or the subscription fees paid by that Participant during the Challenge Period, whichever is lower.

12. Data Privacy

12.1 Personal and business information submitted in connection with the Challenge, including domain information, chatbot training content, and customer or client interaction data, shall be processed by XEELAA in accordance with its Privacy Policy and applicable data protection law, including the Nigeria Data Protection Act 2023.

12.2 By participating, a Participant consents to XEELAA using their name, startup name, and general Challenge performance (including ranking and prize status) for promotional purposes connected with the Challenge, including public recognition under Clause 6.4, unless the Participant notifies XEELAA in writing of their objection.

13. Governing Law and Dispute Resolution

13.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

13.2 Any dispute arising out of or in connection with the Challenge or these Terms shall first be referred to XEELAA's customer support for resolution. Where a dispute remains unresolved, it may be referred to arbitration in Abuja, FCT, in accordance with the Arbitration and Mediation Act 2023.

14. General

14.1 These Terms constitute the entire agreement between XEELAA and each Participant in respect of the Challenge and supersede any prior communication relating to the Challenge, save that they are to be read together with XEELAA's general Terms of Service and Privacy Policy.

14.2 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
