1. Acceptance of Terms

By accessing or using XEELAA ("the Platform"), an enterprise AI conversation memory platform operated by Xeelaa AI, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Platform.

These Terms apply to all users, including visitors, registered users, API consumers, and administrators.

2. Description of Service

XEELAA provides an AI-powered platform that includes, but is not limited to:

  • AI chatbot conversations with persistent memory and semantic search
  • WhatsApp bot integration
  • Video and audio studio for content generation
  • Universal Action Engine for connecting and interacting with third-party services
  • XEELAA Context Protocol (XCP) for native orchestration and execution
  • API access for programmatic integration
  • Team collaboration and human handoff features
  • Training engine for customizing AI knowledge bases

3. User Accounts and Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to disable accounts that violate these Terms or applicable law.
  • Guest users have limited access without registration.
  • API key holders are responsible for all requests made with their keys.

4. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable laws or regulations.
  • Infringe upon the intellectual property rights of others.
  • Generate, store, or transmit illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content.
  • Generate misleading, deceptive, or fraudulent content, including deepfakes and impersonation.
  • Reverse engineer, decompile, or extract source code from the Platform.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Attempt to gain unauthorized access to the Platform or its related systems.
  • Conduct automated high-volume scraping without authorization.
  • Use AI-generated content to spam, manipulate, or deceive others.
  • Train AI models on Platform outputs for use outside the Platform without explicit permission.

5. AI-Generated Content

  • AI responses are generated by AI models and may contain errors, inaccuracies, or biases.
  • You are solely responsible for reviewing and validating AI-generated content before use.
  • The Platform does not guarantee the accuracy, reliability, or appropriateness of AI outputs.
  • AI-generated content should not be used as professional advice (medical, legal, financial, or otherwise) without independent verification.
  • You retain ownership of your input data. AI-generated outputs are provided as part of the Service and may be used by you subject to these Terms.

6. Third-Party Services and Connectors

  • The Platform allows you to connect to third-party services (Google, Microsoft, LinkedIn, Slack, and others).
  • You are responsible for ensuring you have the right to authorize connections to these services.
  • The Platform acts as an intermediary and is not responsible for the actions, data handling, or terms of third-party services.
  • Your use of connected services is subject to the terms and privacy policies of those services.
  • We store OAuth tokens and API keys encrypted to facilitate your authorized actions.
  • We are not liable for damages resulting from your use of connected third-party services.
  • You may disconnect any third-party service at any time through the Platform interface.

7. WhatsApp Integration

  • The WhatsApp integration uses the Baileys WebSocket library, an unofficial, reverse-engineered implementation of the WhatsApp Web protocol. It is not an official WhatsApp Business API integration and is not affiliated with, endorsed by, or officially supported by Meta or WhatsApp.
  • As a result, WhatsApp accounts connected through this integration carry a materially higher risk of restriction or suspension by WhatsApp than accounts using WhatsApp's official Business API. We recommend using a dedicated number for this integration rather than a primary business line.
  • WhatsApp accounts connected through this platform remain subject to WhatsApp's own Terms of Service, and you are responsible for complying with WhatsApp's policies regarding business messaging.
  • We are not responsible for WhatsApp account bans, restrictions, or limitations resulting from use of this integration.

8. API Usage and Rate Limits

  • API access is governed by your assigned tier (Free, Pro, or Enterprise).
  • Rate limits vary by tier: Free (60 req/min), Pro (300 req/min), Enterprise (1,000 req/min).
  • Usage quotas are tracked and enforced. Exceeding your quota may result in throttling or blocking.
  • API keys may be revoked for abuse, violation of these Terms, or at your request.
  • You must not share API keys or exceed authorized usage limits.
  • We reserve the right to modify rate limits and quotas with reasonable notice.

9. Intellectual Property

  • The Platform, including its code, design, logos, and brand elements, is proprietary to Xeelaa AI. All rights reserved.
  • You retain all rights to content you input into the Platform ("Your Content").
  • You grant us a license to process, store, and transmit Your Content solely for the purpose of providing the Service.
  • You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.
  • The XEELAA Context Protocol (XCP) and related technologies are proprietary.

10. Data Protection and Privacy

  • Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect your data.
  • You consent to the processing of your data as described in the Privacy Policy.
  • You are responsible for ensuring that any data you submit complies with applicable data protection laws, including obtaining any necessary consent from your own end-users.
  • If you are subject to GDPR or other data protection laws, you confirm that you have a lawful basis for processing personal data through the Platform.
  • We implement industry-standard security measures but cannot guarantee absolute security.

11. Service Level and Availability

  • We strive to provide high availability but do not guarantee uninterrupted or error-free service.
  • We may perform scheduled maintenance with reasonable notice.
  • We may suspend access for security emergencies without prior notice.
  • The Platform is provided "as is" and "as available" without warranties of any kind.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Xeelaa AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising from:

  • Your use or inability to use the Platform.
  • Any content obtained through the Platform, including AI-generated content.
  • Unauthorized access to or alteration of your data.
  • Actions performed by third-party services connected through the Platform.
  • WhatsApp account restrictions resulting from platform integration.
  • Any other matter relating to the Platform.

Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Xeelaa AI, its affiliates, officers, agents, and employees from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property or privacy rights.
  • Content you submit or generate through the Platform.
  • Your use of connected third-party services.

14. Termination

  • You may terminate your account at any time through the Platform settings or by contacting us.
  • We may suspend or terminate your account for violation of these Terms, illegal activity, or extended inactivity.
  • Upon termination, your right to use the Platform ceases immediately.
  • We will delete your data in accordance with our Privacy Policy, subject to legal retention requirements.
  • Sections on Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Platform and terminate your account.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration seated in Abuja, or in the competent courts in Nigeria, as applicable, and the parties consent to the personal jurisdiction and venue of such courts.
